Establishing an LLP (TOO) in Kazakhstan
An LLP (limited liability partnership) is the most common legal entity form in Kazakhstan. For foreign founders, registering an LLP requires obtaining a C5 visa first.
Who it's for
This service suits foreign nationals planning to register their own company in Kazakhstan as an LLP — either alone or together with partners.
To become an LLP founder, a foreigner must first obtain a C5 visa. After receiving the visa, the legal entity must be registered and the charter capital contributed within 3 months. The visa is issued only to adult applicants.
LLP via a business-immigrant TRP. Citizens of EAEU countries (Russia, Belarus, Armenia, Kyrgyzstan), as well as Uzbekistan, Tajikistan and Azerbaijan, don't need a C5 visa — they can open an LLP or buy a stake in an existing company with a temporary residence permit (TRP) with “business immigrant” status. The initial TRP is issued for 90 days to register the LLP, and after registration it is extended for a year.
Registration requirements

Requirements and nuances
- The company name must be in Kazakh, Russian, and, if needed, English, with both a full and short form; uniqueness is checked on egov.kz
- Prohibited: using the names of state authorities, offensive words, duplicating existing company names, or using personal names without permission
- Minimum charter capital: 0 KZT for small business, 100 MCI for medium and large business
- By default, an LLP is registered under the general tax regime; switching to the simplified regime requires filing a notice within 5 working days
- The LLP registration fee is 6.5 MCI under the Tax Code (Art. 553); small and medium businesses are exempt
